Business name or limited company: which should you register?
The practical differences that matter for liability, tax, funding and who will buy from you.
Business name
Cheaper and faster to register. It is not a separate legal person, which means your personal assets stand behind the business's debts. Fine for a sole trader testing a market.
Limited company
More expensive and slower, but it is a separate legal person. Liability is limited to the company. Most corporate buyers, most lenders and every equity investor will require it.
How to decide
Ask one question: who do you want to sell to in eighteen months? If the answer includes corporates, government or investors, register the company now rather than converting later. Conversion is possible, but it costs more than doing it once.
